Body The agenda item posted for the September meeting referred to nomination for the “Denton Central Appraisal District (DCAD) Review Board,” which handles the protests of tax appraisals rather than to the actual Board of Directors of DCAD. The September agenda item was incorrect, and the action taken at the September meeting was to nominate a person (Lynn Hale) to the DCAD Board of Directors, not to the “Review Board.” Therefore, we have brought this back before the Board, to correctly nominate a candidate to the DCAD Board of Directors. President Budarf announced a quorum and called the meeting to order at 6:00 p.m. 1. 09-128-M1 Discuss and take appropriate action to accept Director Borges' resignation. Director Henry reluctantly moved to accept Director Borges’ resignation. Director Carr seconded the motion. Motion carried 8-0-1 with Director Borges abstaining. Presentation to Outgoing MUD Director Borges and former MUD Director White. Joint President Budarf presented outgoing MUD Director Borges with a plaque and read its inscription; A true leader has the confidence to stand alone, the courage to make tough decisions, and the compassion to listen to the needs of others. In the end, leaders are much like eagles...they don't flock; you find them one at a time. President Budarf congratulated Carol Borges for her 13 years of dedicated service to the MUDs. Joint President Henry presented former Master District Chair and present Town Mayor Connie White with a plaque and read its inscription; A true leader has the confidence to stand alone, the courage to make tough decisions, and the compassion to listen to the needs of others. One does not set out to be a leader, but becomes one by the quality of their actions and the integrity of their intent. In the end, leaders are much like eagles...they don't flock, you find them one at a time. President Henry congratulated Connie White on her 26 years of dedicated service to the MUDs. PUBLIC HEARING Board went into Public Hearing at 6:12 p.m. A. Proposed tax rate to increase, decrease, or make no change for the fiscal year beginning October 1, 2009 and ending September 30, 2010. Director Twomey advised at the Special Meeting we set the cap at $0.215, and are considering other scenarios as low as $0.205 to $0.20999. This will produce some additional reserves, from $180,000 to $230,000, based upon the tax rate we decide to go with, and it is also contingent upon any Rate Order changes we make to the water/wastewater rates. President Budarf asked if there were any questions from the public regarding the tax rate or the budget. Director Henry asked Director Hase to state on the record, because Hase has looked at this, and asked Hase to remind the Board what the tax rate that was proposed in the last spreadsheet that the Consolidation Committee put out. Director Hase advised we issued two tax analyses, two 20-year tax rate analyses. The Consolidation Committee, the first one came out I believe January 17 of this year, and that was the 20-year projection for MUD 1 absorbing MUD 2. That first year tax rate, the 09-10 tax rate, which is the one we are now discussing, was projected at $.21979 cents per hundred dollars. Subsequent to that, some time in early February, after we received the Town’s plan for absorbing MUD 2, we issued a second chart, and then that chart, the combined MUD 1 MUD 2 tax rate was $0.178. The difference between the two was that when we got over to the Town plan, they intended to use MUD 2’s cash reserves to pay down, if they took MUD 2, to help pay down MUD 2’s indebtedness. The committee decided that if we were going to have, I believe the number is $230,000 - $240,000, if were going to put that on the Town side as a contribution towards the absorption of MUD 2, we felt like we had to put it on the MUD side toward the absorption of MUD 1 absorbing MUD 2. That was the basic reason why the tax rate came out for the combined MUDs at $0.178. Now we talked to the committee of saying that the Town intended to use that $230,000 number to help pay MUD 2’s taxes. We told them in order to make it an apples-to-apples presentation, we were going to put the $230,000 on the MUD side also, but we explained the MUDs had no intention of using MUD 2’s $230,000 reserve to pay MUD 2 taxes. So that’s the two numbers that came out of the Consolidation Committee. There were 19 further years after that came out on both charts. Board closed Public Hearing at 6:19 p.m. with no public/citizens addressing the Board. REGULAR SESSION 2. 09-121- M1 - Discuss and take appropriate action regarding Resolution 2009-0915, adopting and approving the Budget for Trophy Club Municipal Utility District No. 1 for fiscal year beginning October 1, 2009, and ending September 30, 2010. District Manager Scott advised he has cut quite a bit out of the budget. The Fire Department employees will be receiving a 4% salary adjustment on the MUDs 51%, and the MUD employees will be receiving a 4% salary adjustment. There will be no merit raises in May. Scott advised that the Town will be giving a 2% COLA across the Board to its employees (EMS personnel (49%), the Shared Employees and the remaining 100% Town employees. Scott advised that we have four tax-rate scenarios, and he is recommending going with the $0.2099, explaining that if we go with $0.2099, we would need a rate increase of 3% due to Fort Worth’s rate increase of up to 7%. Additionally, the tax rate of $0.2999 would allow the MUD 1 to build up its reserves. Fire Chief Thomas advised that it is getting harder and harder to maintain employees and a high-level of service based on the current salary scale. Thomas believes our assets are our employees. Director Twomey advised that the salary adjustments proposed by District Manager Scott are built into the presented budget. Mr. Bill Armstrong, 18 Avenue Twenty, addressed the Board, speaking in favor of a salary adjustment for our employees. Finance Director DuBose explained that when you speak of a 4% increase on 51%, the actual raise is 3%. Mayor White addressed the Board, commenting that the difference in raises between the two entities creates difficulties within the working environment. Director Hase recommended going with the $0.2099 and a 3% rate order change. Director Henry agreed with Director Hase’s recommendation. Town Manager Emmons addressed the Board. Director Twomey advised that he would like to go with a tax rate of $0.20500, as he is a little more optimistic on the future numbers. The difference in the two tax rates is $50,000 in reserves. President Budarf asked for a consensus from the Board with regard to the preferred tax rate for the new budget. Seven Directors voted “For” the $0.20500 tax rate (Fair, Carr, Budarf, Thomas, Cantrell, Henry, and Twomey), and two voted “For” the $0.20999 tax rate (Kohs and Hase). TCMUD No. 1 82 of 104 20 October 2009 TCMUD No. 1 Regular Session Minutes – September 15th, 2009 4 Finance Director DuBose advised that for a break-even budget, the Board needs to go with the $0.20500 tax rate, with a utility rate increase of 3.3%, with a possible adjustment mid-year. With a $0.20999 tax rate, the utility rate increase would be 2%. Director Twomey recommended going with 3.3% now, make the adjustment mid-year to the rate order, as necessary. Twomey does not want to use tax-raised money for water-wastewater. Director Thomas moved to approve Resolution 2009-0915, adopting and approving the TCMUD 1 Budget for FY October 1, 2009 -2010 with a tax rate of $0.2050. Director Twomey seconded the motion. Motion carried 7-2-0, with Directors Kohs and Hase voting against. 3. 09-122-M1 - Discuss and take appropriate action regarding Resolution 2009-0915-B, fixing and levying the Trophy Club Municipal Utility District No. 1 tax rate for debt service for the fiscal year beginning October 1, 2009 and ending September 30, 2010. Director Hase moved to approve Resolution 2009-0915-B, fixing and levying a debt service tax rate of $0.06872 for fy 2009-2010 for TCMUD 1. Director Thomas seconded the motion. Motion carried unanimously (9-0). 4. 09-123-M1 - Discuss and take appropriate action regarding Resolution 2009-0915-C, fixing and levying the Trophy Club Municipal Utility District No. 1 tax rate for maintenance and operations, including the portion of such tax rate to support the Fire Department, for the fiscal year beginning October 1, 2009, and ending September 30, 2010. Director Henry moved to approve Resolution 2009-0915-C, with a $.02714 tax rate for maintenance and operations, and a $.10914 tax rate to support the Fire Department. Director Carr seconded the motion. Motion carried unanimously (9-0). 5. 09-125-M1 - Discuss and take appropriate action regarding Resolution 2009-0915-A, approving the Trophy Club Municipal Utility District No. 1 tax roll of the Denton Central Appraisal District and Tarrant Appraisal District for 2009. Director Cantrell moved to approve Resolution 2009-0915-A, approving the tax roll of Denton Central Appraisal District and Tarrant Appraisal District for 2009. Director Twomey seconded the motion. Floor opened for discussion. Finance Director DuBose advised that Denton Central Appraisal District made an error in their valuations. They overvalued the minerals by $9,540,080. This adjustment is reflected in Resolution 2009-0915-A. Director Cantrell amended his motion to approve the tax roll as amended ($1,022,480,160 to $1,023,493,111 and $305,055,500 to $306,068,451). Motion carried unanimously (9-0). 6. 09-78-M1 - Receive Finance Director's Update a. Monthly Update b. Consolidation of MUD Financial Accounts Finance Director DuBose advised that as a result of the consolidation, we have changed the system for billing and collections for the Utility Billing side, and changed the accounting system, where it is now recording most of the information into the consolidated MUD 1 system as of August 1st. DuBose had asked Finance Accountant Gonzales how long it had been since we had cleaned up our balance sheets prior to bringing the numbers forward. Finance Gonzalez stated that this has not been done with three different accounts in the 17 years that she has been here. DuBose advised that there is about $70,000 that needs to be reconciled. To make the correction, there needs to be a charge off of $70,000 as it was an overstatement back in TCMUD No. 1 83 of 104 20 October 2009 TCMUD No. 1 Regular Session Minutes – September 15th, 2009 5 2001-2002. DuBose advised that this will not affect cash. DuBose advised that one of the issues is that in the past, we have historically not produced comprehensive annual financial reports that are generally accepted. The auditors have prepared the reports. Other entities prepare Comprehensive Accounting Financial Reports also known as a “CAFR.” We only do basic balance sheets. DuBose is also not sure that our current software system would allow us to do a CAFR. Director Hase recommended moving the meetings from the second Tuesday of the month to the third Tuesday of the month to allow Finance the opportunity to submit financials one month in arrears, and the Board agreed to hold meetings on the third Tuesday of the month. Finance Director DuBose stated we have over fifty (50) bank accounts. Action: Discussion only. 7. 09-46-MD - Receive Update from Fire Chief Thomas a. President Budarf stated the rate order needs to be amended to reflect a 3.3% increase based on the Budget the Board approved. This utility rate increase of 3.3% is based on water rate increases from City of Fort Worth. Director Henry moved to approve Order 2009-0915-C, approving the 2009-2010 Rate Order, to amend rate order to reflect a 3.3% increase versus a 3% increase as reflected in the packet. Director Twomey seconded the motion. Motion carried unanimously (9-0). 11. 09-81-M1 - Discuss and take appropriate action regarding Order 2009-0915, repealing the Ethics Policy and adopting an amended Ethics Policy, a Code of Conduct and a Rules of Procedure for the Board of Directors of TCMUD No. 1. Director Budarf advised that this Order is not retroactive. This new Ethics Policy will be effective from this date forward. Director Budarf moved to approve Order 2009-0915, adopting an amended ethics policy, a code of conduct and rules of procedure. Director Cantrell seconded the motion. Floor opened for discussion. Director Budarf modified the motion to exclude the last sentence of Section 3.05 Officers. Seconder agreed to the amended motion. Director Kohs stated that in the rush to get the email out, made public to us for less than 24 hours, that more review is needed, as he has not seen it, and he would like to have a chance to read the 25 pages, and he would like that this be tabled to until the next time we get together, the next meeting, so we all have time to read it and make our corrections, and additions or subtractions, and we address it then. Director Thomas corrected Director Kohs, advising that the original draft came out over two months ago and this one merely has some minor changes to the original draft. MUD Secretary Moore advised that the change from the last draft to this draft is the addition of a Rules of Procedure. Motion carried 8-1-0, with Director Kohs voting against. 12. 09-127-M1 - Discuss and take appropriate action to approve the Public Official Bonds for TCMUD 1 Board of Directors, as required by Texas Water Code Section 49.055(c).
