Town shall continue to collect and to deposit such Utility Fees into MUDs Account in accordance with the existingagreement between the MUDs until such time as the total amount paid into that account equals $3,260,000. Town shall collect and deposit a minimum of one hundred fifty (150) Utility Fees each year, for a total of five (5) successive years commencing on May 7, 2008 (hereinafter "Collection Period"). In the eventthat more than 150 Utility Fees are collected by Town in anyone or more years of the Collection Period, such Utility Fees in excess of the 150 Utility Feesrequired under this Section shall be carried over to the following year or years and shall be a credit toward the total Utility Fees due for such subsequent yearor years. In the event that fewer than 150 Utility Fees are collected by Town during anyone or more year(s) of the Collection Period, including those Utility Fees carriedover from any given year in which more than 150 Utility Fees were collected by Town, Town shall within ten (10) working days of collection of such UtilityFees from Developer, pay into MUDs Account the difference between the amount that would have been paid had 150 Access Fees been paid at $2,300 eachand the amount of Utility Fees actually collected by Town. On or about May 7, 2013, Town shall calculate the total amount of Utility Fees paid to MUDs. WHEREAS, CCGT is the owner of that certain real property located in Trophy Club, Texas (the “CCGT Property”) known and operated as “Trophy Club Country Club”; and WHEREAS, MUD1 is the owner and operator of Trophy Club Fire Department; and WHEREAS, MUD1 desires to obtain a license (the “License”) to use a portion of CCGT Property for a temporary fire department facility (the “Temporary Fire Station”) while the current fire station building located at 100 Municipal Drive, Trophy Club, Texas is demolished and replaced with a new structure (the “New Fire Station”), and CCGT desires to grant such License to MUD1. NOW THEREFORE, for and in consideration of the covenants herein set forth and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, CCGT hereby grants unto and in favor of MUD1 a License on the terms and conditions set forth below, for the purposes of establishing, maintaining and operating the Temporary Fire Station. 1. Grant of License. Subject to the terms of this License Agreement, CCGT hereby grants and conveys to MUD1 a License over (i) those portions of CCGT Property depicted on Exhibit A attached hereto and made a part hereof (the “Site”), upon which MUD1 intends to erect a 70´ x 55´ tent to house Trophy Club Fire Department vehicles and equipment (the “Equipment Tent”) and a 64´ x 24´ portable building or trailer to house personnel (the “Living Quarters,” collectively, the Equipment Tent and Living Quarters together with all other improvements placed on the Site by MUD1 shall be referred to as the “Temporary Fire Station Improvements”), and provide for parking of staff and visitor vehicles, and (ii) the portion of CCGT Property depicted on Exhibit B attached hereto and made a part hereof (the “Access Area”), upon which MUD1 will have ingress and egress to the Site. 2. Use. a. The Site shall be used by MUD1 solely for the purposes of installing, maintaining, repairing and removing the Temporary Fire Station Improvements, and operating the Temporary Fire Station from the Site while the current fire station building is demolished and the New Fire Station is constructed. Concurrently with the execution of this License Agreement, the parties shall execute an acknowledgment in the form attached hereto as Exhibit C (the “Approval”), of their approval of the placement of the Equipment Tent, Living Quarters and certain other Temporary Fire Station Improvements on the Site. Any additional structures or improvements to be placed on the Site by MUD1 which are not described on the Approval shall require the prior written approval of CCGT. b. The Access Area shall be used by MUD1 solely for the purposes of ingress and egress to the Site from Trophy Club Drive by MUD1 personnel and visitors to the Temporary Fire Station. No structures or improvements shall be placed on the Access Area by MUD1. The use of the Access Area by MUD1 shall be non-exclusive in common with CCGT, its members, guests, invitees and other persons. All use of the Access Area is subject to the rules and regulations for the use thereof as prescribed from time to time by CCGT. TCMUD No. 1 44 of 132 19 April 2010 2 c. MUD1 shall be responsible for all costs and expenses incurred by MUD1 in connection with this License Agreement and the construction, development, maintenance, operation and removal of the Temporary Fire Station Improvements, including, without limitation, legal fees, construction and other consultant fees, permitting fees, and preparation of any applications, plans, surveys or other documents. d. MUD1 shall stay within the limits of the Site and the Access Area. No trespassing, ingress or egress is allowed on adjacent CCGT Property. MUD1 and its employees, agents, representatives, contractors, subcontractors and invitees shall enter the Site only from the Access Area. MUD1 and its employees, agents, representatives, contractors, subcontractors and invitees shall not be permitted to use any other portion of CCGT Property or the facilities of CCGT other than the Site and the Access Area, and MUD1 shall be responsible for ensuring compliance with such restriction. e. MUD1 shall, at no cost or expense to CCGT, at all times comply with all laws, ordinances, rules and regulations of any governmental agency or authority. MUD1 shall not use the Site, the Temporary Fire Station, or the Access Area, or permit use of the Site, the Temporary Fire Station, or the Access Area by any person, in a manner which violates any law or regulations, or constitutes a public or private nuisance. MUD1 is responsible for ensuring that the Temporary Fire Station Improvements and the operation of the Temporary Fire Station are consistent with any homeowners’ association requirements or deed restrictions of record affecting the Site or CCGT Property. MUD1 shall be responsible at all times for the conduct of MUD1’s employees, agents, representatives, contractors, subcontractors and invitees in connection with their use of the Site, the Temporary Fire Station, and the Access Area. 3. Construction, Maintenance and Repair. MUD1, at no cost or expense to CCGT, shall ensure that all work performed in connection with this License Agreement shall be conducted so as to minimize the interruption to the operation and use of CCGT Property and done in such a manner as to (i) be accomplished in an expeditious and diligent manner once the same is initiated, (ii) avoid excessive dust and noise caused by such work, (iii) prevent any interruption with the operation, maintenance and use of CCGT Property and business, (iv) prevent injury to person or property, and (v) prevent any adverse effect on the drainage characteristics of the Site and/or adjacent CCGT Property. MUD1 shall provide at least thirty (30) days advance written notice to the general manager and golf course superintendent of CCGT prior to the commencement of any construction activities on the Site. MUD1 shall obtain at its sole cost and expense any required permits, licenses and approvals prior to commencement of any work in connection with this License Agreement. Throughout the term of this License Agreement, MUD1, at its sole cost and expense, shall keep the Temporary Fire Station Improvements and Site in good condition and repair, in a clean and safe condition to CCGT’s reasonable satisfaction and in compliance with all applicable laws, ordinances, rules and regulations of the health or other governmental authorities applicable to said Site (including without limitation any environmental, hazardous substances or accessibility laws). Throughout the term of this License Agreement, MUD1 shall promptly remove and dispose of any and all trash and debris from the Site, and shall not bury any trash or waste material of any kind on the Site or adjacent CCGT Property. 4. Restoration. MUD1 shall, at no cost or expense to CCGT, promptly repair any damage to the Site, the Access Area, or other CCGT Property, caused by MUD1, its employees, agents, representatives, contractors, subcontractors and/or invitees, to a condition as near as practicable to the condition found prior to the performance of the activity in question. Prior to the termination of this License Agreement, MUD1 shall, at MUD1’s expense, remove from the Site the Equipment Tent, Living Quarters, signage and all other Temporary Fire Station Improvements installed by or on behalf of MUD1, and restore the surface of the Site, the Access Area, and any surrounding CCGT Property damaged as a result of the installation, presence or removal of the Temporary Fire Station Improvements, or use of the TCMUD No. 1 45 of 132 19 April 2010 3 Site or Access Area. MUD1’s responsibility for restoration pursuant to this Section 4 shall include, without limitation, repair or replacement of parking lot surfaces, driveways, roads, sidewalks, cart paths, utilities, ground covers, plantings, trees and shrubs, and all restoration required shall be performed by contractors approved by CCGT. Any damage to turf areas of the golf course shall be repaired using sod of the same type as the grass damaged. If the removal of the Temporary Fire Station Improvements and the restoration is not completed by the expiration of this License Agreement, CCGT may give MUD1 written notice of breach. If, at the end of five (5) days after such written notice is given, MUD1 has not commenced the removal of the Temporary Fire Station Improvements and/or restoration or does not diligently pursue same to completion, CCGT will have the right to remove the Temporary Fire Station Improvements and perform the restoration work without any further notice to MUD1, and MUD1 will be liable to CCGT for the full cost of such work performed. MUD1’s restoration obligations under this Section 4 shall survive any termination of this License Agreement. 5. Utility Services. MUD1, at its sole cost and expense, shall separately meter all utilities providing service to the Temporary Fire Station. All applications and connections for necessary utility services to the Temporary Fire Station shall be made in the name of MUD1 only and MUD1 shall be solely liable for utility charges as they become due, including but not limited to those for sewer, water, gas, electricity, and telephone services. Pursuant to the Approval, the parties have approved the utility lines and tie-ins for water and electric, and the septic tank for the Living Quarters. Any other new utility lines or tie-ins to existing lines required to provide utility service to the Temporary Fire Station must be approved in advance by CCGT. All utility lines and tie-ins and the septic tank must be constructed, installed and maintained in accordance with all applicable laws. CCGT may require, in its sole discretion, that MUD1 remove all such utility lines, meters and/or tie-ins prior to the termination of this License Agreement. 6. Signs. Pursuant to the Approval, the parties have agreed upon the location of the temporary signage indicating the location of the Temporary Fire Station. All signage is subject to applicable zoning ordinances and private restrictions. MUD1 shall repair all damage to the Site or other CCGT Property resulting from the removal of signs installed by MUD1. 7. Insurance. a. During the term of this License Agreement, MUD1 shall procure, and shall maintain, at MUD1’s sole cost and expense, property insurance covering the Equipment Tent, Living Quarters and all other Temporary Fire Station Improvements for full replacement cost against loss or damage by fire or other insurable hazards and contingencies through all risk insurance, including fire and extended coverage, with deductibles as are commercially reasonable. b. During the term of this License Agreement, MUD1 shall procure, and shall maintain, at MUD1’s sole cost and expense, commercial general liability insurance covering CCGT and MUD1 against claims for personal and bodily injury, death or property damage occurring upon, in or about the Site, the Access Area, the Temporary Fire Station, and/or the Temporary Fire Station Improvements, in an amount not less than Three Million Dollars ($3,000,000.00) per occurrence and Five Million Dollars ($5,000,000.00) in the aggregate for bodily injury and property damage. c. During the term of this License Agreement, MUD1 shall procure, and shall maintain, at MUD1’s sole cost and expense, Worker’s Compensation and Employer’s Liability Insurance as required by law. d. During the term of this License Agreement, MUD1 shall procure, and shall maintain, at MUD1’s sole cost and expense, Automobile Liability Insurance covering liability arising from the use or operation of any vehicle owned, hired or otherwise operated or used by or on behalf of MUD1, with TCMUD No. 1 46 of 132 19 April 2010 4 minimum policy limits of Five Million Dollars ($5,000,000.00) combined bodily injury and property damage liability per accident for bodily injury and property damage. e. All of the insurance policies and renewals thereof as are required in this Section 7 shall be written by companies acceptable to CCGT, licensed to do business in the State of Texas, and having a current A.M. Best’s rating of not less than A-VII. All of the insurance policies and renewals thereof as are required in this Section 7 shall (i) be written as primary policies not contributory with and not in excess of coverage which CCGT may carry, (ii) provide that the insurance company issuing same shall have waived any right of subrogation against CCGT, and (iii) provide that no material change or cancellation of said policies shall be made without thirty (30) days’ prior written notice to CCGT. f. All of the insurance policies and renewals thereof as are required in this Section 7 except for Worker’s Compensation and Employer’s Liability Insurance shall name CCGT as an additional insured. MUD1 agrees to furnish to CCGT, prior to the use of the Site by MUD1, and thereafter upon request from time to time, certificates of insurance reflecting that such insurance in the minimum requirements hereof is being properly carried. g. CCGT makes no representation that the limits of liability specified to be carried by MUD1 pursuant to this Section 7 are adequate to protect MUD1. If MUD1 believes that any of such insurance coverage is inadequate, MUD1 shall obtain such additional insurance coverage as MUD1 deems adequate, at MUD1’s sole expense. h. Prior to commencement of any contractor work at the Site, including but not limited to the initial installation of the Temporary Fire Station Improvements and the removal of same upon the termination of this License Agreement, and any electrical, plumbing or other utility work, MUD1 shall obtain proof of liability insurance coverage including personal injury and property damage coverage from each contractor who shall perform work at the Site. Each such contractor’s insurance coverage shall provide minimum limits of One Million Dollars ($1,000,000.00) as to each person and One Million Dollars ($1,000,000.00) as to each occurrence, and property damage insurance with minimum limits of One Million Dollars ($1,000,000.00). All such insurance policies shall be written by companies acceptable to CCGT, licensed to do business in the State of Texas, and having a current A.M. Best’s rating of not less than A-VII. CCGT shall be named as an additional insured on all such policies, and MUD1 shall furnish CCGT with certificates of insurance reflecting same prior to the commencement of any work to be performed at the Site by contractors. 8. No Liens. MUD1 shall not permit any lien to be filed or otherwise imposed on any part of the Site or other CCGT Property. If any such lien is filed, MUD1 shall cause such lien to be released and discharged within ten (10) days after filing at no cost to CCGT. MUD1 shall indemnify, defend with counsel satisfactory to CCGT, and hold CCGT harmless from any such lien if related to or arising from MUD1’s use of the License or the Site. MUD1’s obligations under this Section 8 shall survive any termination of this License Agreement. 9. Environmental. MUD1 shall not, and shall not permit any of MUD1’s employees, agents, contractors, subcontractors, suppliers or invitees to transport, locate, generate, manufacture, install, use or dispose on or about the Site any Hazardous Substances, except in accordance with applicable Environmental Laws. Further, MUD1 shall not cause or permit any Hazardous Substances to contaminate or be released or discharged into the environment, the soil, the atmosphere, any water course or any ground water on or about the Site. For purposes of this License Agreement, the term “Hazardous Substances” shall mean and include, but shall not be limited to, any element, constituent, chemical, substance, compound or mixture that is defined in, included under or regulated by any local, state or federal law, rule, ordinance or regulation pertaining to environmental regulation, contamination, clean-up TCMUD No. 1 47 of 132 19 April 2010 5 or disclosure, including, but not limited to, the Comprehensive Environmental Response, Compensation, and Liability Act of 1980, the Resource Conservation and Recovery Act, the Toxic Substances Control Act, the Clean Water Act, the Clean Air Act, the Marine Protection Research and Sanctuaries Act, the Occupational Safety and Health Act, the Superfund Amendments and Reauthorization Act of 1986, and all other superlien or environmental clean-up disclosure statutes including all state and local counterparts of such laws (all such laws, rules and regulations being referred to collectively as “Environmental Laws”). 10. Indemnification. MUD1 shall indemnify, defend, and hold CCGT and its affiliates, partners, shareholders, members, managers, officers, directors, agents, representatives, employees, subsidiaries and parent entities harmless from any and all expenses, suits, actions, judgments, attorneys’ fees and costs arising from any claims, demands, suits or actions of any character, type or description (including, without limitation, all environmental claims and injuries or damage resulting from the Golf Activities [hereinafter defined]) brought or made for or on account of any injuries or damages received or sustained by any person or persons or property, arising out of or occasioned by the Temporary Fire Station, the Temporary Fire Station Improvements or MUD1’s use of the Site and/or Access Area, or any acts or omissions of MUD1 or MUD1’s agents, employees, representatives, contractors, subcontractors, suppliers or invitees. In addition, MUD1, for itself and each and every user of the Site and/or the Access Area, hereby acknowledges and agrees that the use of the Site and the Access Area is subject to the risk of damage or injury due to errant golf balls, and MUD1 hereby assumes the risk of damage and injury and hereby releases CCGT, its successors and assigns, from any and all liability for property damage or personal injury caused by errant golf balls on, near or around the Site and/or the Access Area. In addition, MUD1 shall be responsible for any and all expenses, suits, actions, judgments, attorneys’ fees and costs arising from any claims, demands, suits or actions of any character brought or made for or on account of any injuries or damages received or sustained by any person or persons or property on or about the Site, the Access Area, or adjacent CCGT Property, arising out of or occasioned by the ownership or operation of an uninsured or underinsured personal vehicle by any of MUD1’s agents, employees, representatives, contractors, subcontractors, suppliers or invitees. MUD1’s obligations under this Section 10 shall survive any termination of this License Agreement. 11. Release. CCGT shall not be responsible for any claims, suits, losses, costs, expenses, damage or liability resulting from MUD1’s use of the License, the Site, the Access Area, the Temporary Fire Station, or the Temporary Fire Station Improvements, or from the exercise of any rights under this License Agreement. MUD1, on behalf of itself and its agents, employees, representatives, contractors, subcontractors, suppliers and invitees, releases CCGT and its partners, affiliates, members, managers, shareholders, officers, directors, employees, agents and representatives from all claims and causes of action of any nature relating to MUD1’s use of the License, the Site, the Access Area, the Temporary Fire Station, or the Temporary Fire Station Improvements, or from the exercise of any rights under this License Agreement. MUD1’s release under this Section 11 shall survive any termination of this License Agreement. 12. Default and Remedies. The following shall be considered events of default under this License Agreement: (i) MUD1’s non-payment of fees or any other charge or amount due and owing under the terms of this License Agreement, (ii) MUD1’s failure to observe or perform any obligation under this License Agreement, (iii) if any mechanics’ or materialmen’s liens or other attachment, lien, charge or encumbrance shall attach to the Site or other CCGT property as a result of any action taken by MUD1 or under or by authority of MUD1, and such lien, claim, charge or encumbrance shall not be discharged or released within ten (10) calendar days after such attachment, and (iv) filing of bankruptcy or similar petition by MUD1, or the adjudication of MUD1 as bankrupt or insolvent and such adjudication shall not be vacated or set aside or stayed within the time permitted by law. Upon the occurrence of an event of default by MUD1 hereunder which shall remain uncured for fifteen (15) days after receipt by MUD1 of TCMUD No. 1 48 of 132 19 April 2010 6 written notice of the event of default, CCGT shall have the right, but not the obligation, to (i) do whatever MUD1 is obligated to do under the terms of this License Agreement, in which event MUD1 shall reimburse CCGT on demand for any expenses that CCGT incurs in thus effecting compliance and CCGT shall not be liable for any damages resulting from such action(s), (ii) terminate this License Agreement upon written notice to MUD1, in which event the License shall automatically be deemed to have been revoked, and/or (iii) exercise any other remedies available at law or in equity. If this License Agreement is terminated due to default by MUD1, MUD1 shall be liable to CCGT for damages for its breach, including all attorneys’ fees and costs incurred by CCGT in connection therewith, and CCGT shall not be liable to MUD1 or any other party for any damages resulting from such action. The rights, powers and remedies provided herein to CCGT shall be cumulative and not restrictive of other remedies at law or in equity, and the exercise of any particular right, power or remedy shall not be deemed an election of remedies or to preclude resort to other rights, powers or remedies. No delay or failure to invoke any available right, power or remedy in respect to a breach of this License Agreement by MUD1 shall be held to be a waiver by CCGT of any right, power or remedy available upon the recurrence or continuance of said breach or the occurrence of a different breach. 13. Termination. a. This License Agreement shall continue in effect until the date thirty (30) days after the date the certificate of occupancy has been issued for the New Fire Station, unless earlier terminated upon the mutual written agreement of the parties, or terminated by CCGT in accordance with Section 12 above upon the occurrence of an event of default by MUD1, or terminated pursuant to Section 23 below. b. Prior to the termination of this License Agreement for any reason, MUD1 shall perform the restoration work in accordance with the requirements of Section 4 hereof, and remove all trash and debris from the Site and adjacent CCGT Property. 14. License Fee. It is anticipated that MUD1’s use of the Site will continue for approximately eighteen (18) months. No rent or fee shall be charged for MUD1’s use of the Site for the period from the Effective Date through October 31, 2011. However, in the event this License Agreement has not been terminated and MUD1 shall continue to use the Site after October 31, 2011, MUD1 shall commence the payment of a monthly license fee to CCGT (the “License Fee”) on November 1, 2011. MUD1 shall be required to continue monthly payments of the License Fee to CCGT on the first day of each month thereafter through the remainder of the term of this License Agreement. The amount of the License Fee shall be Thirty Five Hundred Dollars ($3,500.00) per month for the first three (3) months that MUD1 shall continue to use the Site after October 31, 2011, and shall be Five Thousand Dollars ($5,000.00) per month for each month thereafter. 15. Notices. Any notices or other communications required or permitted hereunder shall be sufficiently given if in writing and (i) delivered personally, or (ii) sent by certified mail, return receipt requested, postage prepaid, addressed as shown below, or to such other address as the party concerned may substitute by written notice to the other. All notices personally delivered shall be deemed received on the date of delivery. All notices forwarded by mail shall be deemed received on a date three (3) days (excluding Sundays and holidays) immediately following date of deposit in the U.S. mail; provided, however, the return receipt indicating the date upon which all notices were received shall be prima facie evidence that such notices were received on the date on the return receipt. Unless and until such written notice is received, the last address and addressee given shall be deemed to continue in effect for all purposes. No notice to either party hereto shall be deemed given or received unless the entity noted “With a copy to” is simultaneously delivered notice in the same manner as any notice given to either party hereto. 16. Property Title. This License Agreement does not grant any right or interest in or to the Site or Access Area except for the rights and purposes specifically granted herein, and this License Agreement covers no CCGT Property other than the Site and Access Area. No warranty of title to any CCGT Property is given hereunder, and the License herein given to MUD1 is subject to all encumbrances, conditions and reservations upon or under which CCGT holds the Site and Access Area. 17. No Warranties by CCGT. CCGT does not make any warranties with respect to the condition of the Site, and MUD1 expressly acknowledges and agrees that the Site is being licensed to MUD1 “AS IS, WHERE IS AND WITH ALL FAULTS,” and CCGT has not made and does not make any other warranties or representations of any kind, expressed or implied, as to the conditions, merchantability or state of repair of said Site or the fitness of said Site for any particular purpose, as to the soil condition (including, without limitation, suitability, stability, composition and drainage), the existence of gaps, gores or encroachments or violations or easements, building setbacks or building restrictions, or as to the compliance of said Site with any applicable county, state or federal statute, ordinance, rule or regulation or as to any other matter whatsoever pertaining to said Site. MUD1 ACCEPTS ALL RISKS OF ANY DEFECTS OR DEFICIENCIES IN SAID SITE, WHETHER KNOWN OR UNKNOWN, AND MUD1 ACKNOWLEDGES THAT CCGT MAKES NO EXPRESS WARRANTIES OF ANY KIND AND HEREBY DISCLAIMS ALL IMPLIED WARRANTIES OF ANY NATURE WHATSOEVER PERTAINING TO SAID SITE. MUD1 further acknowledges and agrees that CCGT is not responsible for any latent defects, hidden defects or defects which time may reveal with respect to said Site. 18. CCGT’s Rights. CCGT reserves and retains the right to (i) grant other rights and easements across, over or under the Site and Access Area to such other persons as CCGT deems proper, provided such other grants do not unreasonably interfere with the use of the License by MUD1 for the purpose(s) set forth herein; and (ii) use the Site and Access Area for any and all purposes which do not TCMUD No. 1 50 of 132 19 April 2010 8 unreasonably interfere with or prevent the use by MUD1 of the Site and Access Area for the purpose(s) set forth herein. 19. Golf Activities. The License and the use of the Site and the Access Area are further subject to golf related operations and activities (collectively, the “Golf Activities”) conducted at, from or in the vicinity of the golf course, including without limitation: (a) free and unobstructed flight of golf balls over, across or upon the Site and the Access Area; (b) play of golf, including the doing of every act necessary and incident to the playing of golf; (c) retrieval of golf balls; (d) creation of noise which may occur from early morning to late evening related to the normal maintenance and operation of the golf course and other recreational activities on CCGT Property; and (e) overspray of herbicides, fungicides, pesticides, fertilizers and water over portions of the Site and the Access Area. 20. Non-Assignable by MUD1. The License is personal to MUD1 and is not assignable by MUD1 to any party. 21. No Recording. Neither CCGT nor MUD1 shall, in any event, record (or cause or permit the recordation of) this License Agreement. 22. Survival. The obligations of MUD1 set forth herein shall survive any termination of this License Agreement. 23. Casualty and Condemnation. a. If the Equipment Tent, Living Quarters and/or any other Temporary Fire Station Improvement or portion thereof is damaged or destroyed, within thirty (30) days after the occurrence of such damage or destruction, MUD1 shall either (i) repair or replace such Temporary Fire Station Improvement as nearly as practicable to the condition in which it was in immediately prior to such damage or destruction, or (ii) terminate this License Agreement and remove such damaged or destroyed Temporary Fire Station Improvement as well as all other Temporary Fire Station Improvements from the Site. b. If the Site or any part thereof materially affecting MUD1’s use of the Site shall be taken by eminent domain, condemnation, compulsory acquisition or similar proceeding, this License Agreement shall terminate on the date when title vests pursuant to such taking. MUD1 shall not be entitled to any part of the award for such taking or any payment in lieu thereof. 24. Taxes. MUD1 shall pay or cause to be paid, when due, the amount of all taxes, rates, assessments and other outgoings of every description as to which the Site or any part, or any Temporary Fire Station Improvements on the Site, of CCGT or MUD1, are now or may be assessed by governmental authorities during the term of this License Agreement; provided, however, that with respect to any assessment made under any betterment or improvement law which may be payable in installments, MUD1 shall be required to pay only those installments, together with interest, which become due and payable during the term. If any term or provision of this License Agreement, or the application thereof to any person or circumstance, shall to any extent be invalid or unenforceable, the remainder of this License Agreement or the application of such term or provision to persons or circumstances other than those as to which it is invalid or unenforceable, shall not be affected thereby, and each term and provision of this License Agreement shall be valid and enforceable to the fullest extent permitted by law. 26. Independent Corporation. MUD1 recognizes and acknowledges that CCGT is a limited partnership, properly capitalized, chartered under the laws of the State of Texas, and solely responsible for the obligations and liabilities recited herein, arising hereunder, or in any manner related to the transactions contemplated hereby. MUD1 further recognizes and acknowledges that no other entity or entities, including (i) CCGT’s parent company, (ii) any individual, or (iii) any entity affiliated with CCGT, is in any manner liable or responsible for the obligations and liabilities of CCGT, whether recited herein, arising hereunder, or in any manner related to the transactions contemplated hereby. 27. No Partnership or Joint Venture. Nothing contained herein shall be deemed or construed by the parties hereto or by any third party as creating the relationship of (i) employer or employee, (ii) principal and agent, (iii) a partnership, or (iv) a joint venture between the parties. MUD1 is a separate and independent entity and as such is entirely and solely responsible for MUD1’s acts and the acts of any personnel, agents, representatives, contractors, subcontractors, invitees and guests of MUD1. Neither party shall have any authority to bind the other in any respect, it being intended that each shall be responsible for their own actions. MUD1 shall indemnify, defend and hold CCGT harmless from any and all claims and damages relating to the above matters. 28. Sale of Site by CCGT. Notwithstanding anything contained herein to the contrary, CCGT may, without prior written consent of MUD1 or any mortgagee or other creditor of MUD1, convey fee simple title to the Site together with CCGT’s interest under this License Agreement to any party in its sole discretion. In the event of the sale or exchange of the Site and the assignment of this License Agreement, CCGT shall be relieved of all liability for the covenants and obligations of CCGT in, derived from or arising out of this License Agreement. The covenants, representations and obligations of CCGT shall be binding on CCGT only during the period that CCGT has an ownership interest in the Site. 29. Binding Effect. This License Agreement shall be binding upon, and inure to the benefit of, the parties hereto, and to the successors and assigns of CCGT, if applicable. 30. Counterparts. This License Agreement may be executed in counterparts, each of which shall constitute one and the same instrument. 31. Applicable Law. This License Agreement shall be interpreted and enforced in accordance with the laws of the State of Texas. 32. Complete Agreement. This License Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and shall be binding upon and inure to the benefit of the successors and assigns of all parties. No oral amendment of this License Agreement shall be binding upon the parties. Any modification or amendment of this License Agreement must be in writing and signed by all parties. 33. Section Headings. Section headings are inserted only for convenience and reference and in no way define, limited, extend or describe the scope of intent of this License Agreement or any provisions hereof. 34. No Consent or Waiver Assumed. No consent or waiver, express or implied, by either party to or of any breach or default by any other party in the performance by the other party in the performance by the other of its obligations hereunder shall be deemed or construed to be a consent or TCMUD No. 1 52 of 132 19 April 2010 10 waiver or to or of any other breach or default in the performance by such other party for any obligations of such party hereunder. Failure on the part of any party to complain of any act or failure to act of any other party or to declare any other party in default, irrespective of how long such failure continues, shall not constitute a waiver by such party of its rights hereunder. 35. Remedies Cumulative. No remedy herein conferred upon any party is intended to be exclusive of any other remedy, and each and every such remedy shall be cumulative and shall be in addition to every other remedy given hereunder or now or hereafter existing at law or in equity or by statute or otherwise. No single or partial exercise by any party of any right, power or remedy hereunder shall preclude any other or further exercise thereof. 36. Mediation/Litigation. If any dispute, controversy or claim arises out of, or relates to, this License Agreement, and is not resolved by the parties, the parties shall endeavor to resolve such dispute, controversy or claim by mediation using a neutral, third-party mediator before resorting to litigation. The mediator to be used shall be acceptable to both parties, and the fees and costs of the mediator shall be borne equally by both parties. The mediation shall be held in Dallas County, Texas unless another location is mutually agreed upon. Agreements reached in mediation shall be enforceable as settlement agreements in any court having jurisdiction thereof. Claims not resolved by mediation shall be decided by litigation unless the parties mutually agree that they wish to arbitrate. Any litigation shall be filed in a court of law having proper jurisdiction over the parties and the claim. To the fullest extent permitted by law, the parties forever waive the right to trial by jury in the event of any suit, action or proceeding arising out of or relating to this License Agreement. ELIGIBILITY FOR CANDIDACY As set forth in Section 141.001 of the Texas Election Code, no person shall be eligible for a public elective office of this state, unless that person is a United States citizen, at least 18 years of age on the first day of the term to be filled at the Election, has not been determined mentally incompetent by a final judgment of a court, has not been finally TCMUD No. 1 90 of 132 19 April 2010 Page 4 of 6 convicted of a felony from which the person has not been pardoned or otherwise released from the resulting disabilities, and has resided continuously in the State of Texas for twelve (12) months immediately preceding the date of the regular filing deadline for the candidate’s application for a candidate whose name is to appear on the general election ballot, or the date of the election at which the candidate’s name is written in for a write in candidate. Additional requirements are as follows: A. Municipal Utility District Directors: (1) Must own land subject to taxation in the District for which they are filing; or (2) Must be a qualified voter within the District; and (3) Must not otherwise be disqualified from serving as a member of the Board of a Municipal Utility District pursuant to Section 49.052 of the Texas Water Code, as amended. Section 7. APPLICATION FOR A PLACE ON THE BALLOT Pursuant to Section 143.007 of the Texas Election Code, any eligible and qualified person may have that person's name printed upon the official ballot as a candidate for the office hereinbefore set forth by filing the person's sworn application with the MUD Secretary for MUD Board position not later than 5:00 p.m. on March 8, 2010. Each such application shall be on a form as prescribed by the Texas Election Code. The order in which the names of the candidates are to be printed on the ballot shall be determined by a drawing by the MUD Secretary for MUD Director positions, as provided by Section 52.094 of the Texas Election Code. Notice of the time and place for such drawing shall be given in accordance with Section 52.094(c) and (d) of the Texas Election Code. Section 8. PLURALITY VOTE MUD1 directors shall be elected by plurality vote consistent with Section 49.102 of the Texas Water Code. Section 9. ELECTION MATERIALS The Election Materials enumerated in the Election Code shall be printed in both English and Spanish for use at the polling places and for Early Voting. Provisions shall be made for oral assistance to Spanish-speaking voters. Section 10. DELIVERY OF RETURNS The election officers shall make returns for the Election in the manner required by law, and the ballots that are properly marked in conformance with the provisions of the Code for votes cast both during the period of early voting and on the day of the Election shall be counted in the manner required by law. All election records and supplies shall be preserved by the Election Administrator in accordance with the Texas Election Code. TCMUD No. 1 91 of 132 19 April 2010 Page 5 of 6 Section 11. POSTING AND PUBLICATION OF NOTICE Notice of the Election shall be given by posting a Notice of Election in both English and Spanish containing a substantial copy of this Ordinance on the window of the Svore Municipal Building, commonly used for posting notices of the meetings of the MUD Board and at both the Denton and Tarrant County websites pursuant to Section 49.063 of the Water Code not less than twenty-one (21) days prior to the date of the Election. Participants agree to publish one notice for both entities on the same day for two (2) successive weeks in a newspaper of general circulation published within the Town, the date of the first publication to be not less than fourteen (14) days nor more than thirty (30) days prior to the date set for the Election. Section 12. NECESSARY ACTIONS The MUD Presidents and the MUD Secretary, in consultation with the MUD Attorneys and bond counsel, are hereby authorized and directed to take any and all actions necessary to comply with the provisions of the Code and the Federal Voting Rights Act in carrying out and conducting the Election, whether or not expressly authorized herein. Section 13. CANVASSING OF RETURNS In accordance with Section 67.003(2) of the Texas Election Code, the Trophy Club Municipal District No. 1 shall convene on their regularly scheduled meeting date of Tuesday, May 18, 2010, at 6:00 p.m. to canvass the returns of the Election. Section 14. JOINT ELECTION AGREEMENT Section 271.002 of the Texas Election Code provides that the governing bodies of two or more political subdivisions may enter into an agreement to hold a Joint Election if the elections ordered by the authorities of the subdivisions are to be held on the same day in all or part of the same territory and can be served by common polling places. A copy of the Joint Election Agreement between the Trophy Club Municipal District No. 1 and Town of Trophy Club is attached hereto as Exhibit “B” and is incorporated herein. Additionally, a copy of Joint Election Agreement with Denton County Elections to conduct elections for Town of Trophy Club and Trophy Club Municipal District No. 1 is attached hereto as Exhibit “C.” Section 15. CUMULATIVE CLAUSE This Order shall be cumulative of all provisions of Orders of Trophy Club Municipal Utility District No. 1, except where the provisions of this Order are in direct conflict with the provisions of such other orders, in which event the conflicting provisions of such other orders are hereby repealed. Section 16. SEVERABILITY CLAUSE It is hereby declared to be the intent of the Board of Directors of Trophy Club Municipal Utility District No. 1 that the phrases, clauses, sentences, paragraphs, and sections of this Order are severable, and if any phrase, clause, sentence, paragraph, or section of this Order shall be declared unconstitutional by the valid judgment or decree of any court of competent jurisdiction, such unconstitutionality shall not affect any of the remaining phrases, clauses, sentences, paragraphs, or sections of this Order, since the same would have been enacted by the Board of Directors without incorporation of any such unconstitutional phrase, clause, sentence, paragraph, or section. EN VISTA DE QUE el Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club y el Poblado de Trophy Club reúnen los criterios especificados y desean celebrar sus elecciones en forma conjunta, y se incorpora al presente como Anexo “B” una copia del Convenio de Elecciones Conjuntas entre dichas entidades; y EN VISTA DE QUE la Elección se celebrará en conformidad con el Código Electoral bajo la jurisdicción del Departamento Electoral del Condado de Denton (el “Administrador de Elecciones”) de acuerdo con el Convenio de Elecciones Conjunta y Contrato de Servicios Electorales (el “Contrato”) acordado entre el Departamento Electoral del Condado de Denton (en lo sucesivo, “DCED”) y otras entidades participantes, de haber alguna, descritas en el Contrato. En la Elección del 8 de mayo de 2010, el Administrador de Elecciones se encargará de que se preparen boletas del tipo descrito previamente, siendo en inglés y en español, y proveerá a los oficiales de la elección dichas boletas, en dicha forma, junto con cualesquiera otros formularios o papeles en blanco, en conformidad con la Ley Orgánica del Poblado de Trophy Club, la Constitución y las leyes del Estado de Texas y la Ley de Derechos de Votación de 1965, y cualquier modificación a éstas, en tanto que corresponda lo mismo. FECHA DE LA ELECCIÓN Por medio del presente se ordena que se celebrará una Elección General Conjunta (en lo sucesivo, la “Elección”) en el Poblado de Trophy Club y en el Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club el sábado 8 de mayo de 2010. Sección 5. PROPÓSITO DE LA ELECCIÓN El propósito de esta Elección General Conjunta es elegir a cinco (5) Directores del MUD para cinco (5) cargos de la Junta Directiva del Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club; tres (3) directores estarán a cargo de sus puestos durante términos de cuatro (4) años cada uno y dos (2) directores estarán a cargo de sus puestos durante términos de dos (2) años cada uno. Sección 6. ELEGIBILIDAD PARA CANDIDATURA De acuerdo a lo establecido en la Sección 141.001 del Código Electoral de Texas, ninguna persona será elegible para un cargo público de elección de este estado a menos que esa persona sea ciudadana de los Estados Unidos, tenga por lo menos 18 años de edad el primer día del término del cargo que ha de ocupar en la Elección, no haya sido determinada mentalmente incompetente por un juicio final de un tribunal, no haya sido finalmente convicta de un delito grave del que no haya sido perdonado o de otra manera liberada de las discapacidades resultantes, y haya residido continuamente en el Estado de Texas durante doce (12) meses inmediatamente antes de la fecha límite para presentar la solicitud de candidatura para un candidato cuyo nombre aparecerá en la boleta de la elección general, o la fecha de la elección en la que el nombre del candidato se escriba como candidato escrito. Los requisitos adicionales son los siguientes: A. Directores de Distrito de Servicios Públicos Municipales: (1) Deben ser propietarios de terreno sujeto a impuestos en el Distrito para el cual presentan su candidatura; o (2) Deben ser votantes calificados dentro del Distrito; y (3) No deben de otra manera ser descalificados de fungir como miembros de la Junta de un Distrito de Servicios Públicos Municipales en conformidad con la Sección 49.052 del Código Electoral de Texas, según modificado. Sección 7. SOLICITUD PARA UN LUGAR EN LA BOLETA En conformidad con la Sección 143.007 del Código Electoral de Texas, cualquier persona elegible y que reúna los requisitos puede pedir que se imprima su nombre en la boleta oficial como candidato para el cargo establecido previamente presentando la solicitud jurada de la persona ante el Secretario del MUD para el cargo de la Junta del MUD a más tardar el 8 de marzo de 2010 a las 5:00 p.m. Dicha solicitud deberá ser de la forma descrita por el Código Electoral de Texas. El orden en el que se imprimirán los nombres de los candidatos en la boleta se determinará mediante un sorteo llevado a cabo por el Secretario del MUD para los puestos de Director, según lo estipulado en la TCMUD No. 1 98 of 132 19 April 2010 Page 5 of 7 Sección 52.094 del Código Electoral de Texas. El aviso de la hora y el lugar de dicho sorteo se dará en conformidad con la Sección 52.094(c) y (d) del Código Electoral de Texas. Sección 8. VOTO POR PLURALIDAD Se elegirá a los directores del MUD1 mediante voto por pluralidad de acuerdo a la Sección 49.102 del Código de Distribución de Agua de Texas. Sección 9. MATERIALES DE LA ELECCIÓN Los materiales de elección enumerados en el Código Electoral se imprimirán en inglés y en español para usarse en las casillas electorales y para la Votación Anticipada. Habrá disponible asistencia verbal para los votantes de habla hispana. Sección 10. ENTREGA DE LOS RESULTADOS Los oficiales de elección darán el dictamen de los resultados de la Elección de la manera requerida por la ley, y las boletas que estén marcadas correctamente en conformidad con las disposiciones del Código para la emisión de votos durante el período de votación anticipada y en el día de la Elección se contarán de la manera requerida por la ley. El Administrador de Elecciones conservará todos los registros y suministros de la elección en conformidad con el Código Electoral de Texas. Sección 11. COLOCACIÓN Y PUBLICACIÓN DEL AVISO El aviso de la Elección se dará mediante la colocación de un Aviso de Elección en inglés y en español que contenga una copia substancial de esta Ordenanza en la ventana del edificio Svore Municipal Building, comúnmente usada para colocar avisos de las asambleas de la Junta del MUD y en las páginas Web de los Condados de Denton y Tarrant en conformidad con la Sección 49.063 del Código de Distribución de Agua a más tardar veintiún (21) días antes de la fecha de la Elección. Los participantes acuerdan publicar un aviso para ambas entidades el mismo día de dos (2) semanas consecutivas en un periódico de circulación general en el Poblado. La fecha de la primera publicación deberá ser a no menos de catorce (14) días y a no más de treinta (30) días antes de la fecha establecida para la Elección. Sección 12. ACCIONES NECESARIAS Por medio del presente se autoriza e instruye al Presidente y al Secretario del MUD a que en consulta con los Abogados del MUD y el asesor jurídico de bonos, tomen todas y cada una de las acciones necesarias para cumplir con las estipulaciones del Código y de la Ley Federal de Derechos de Votación para celebrar y realizar la Elección, sea o no que se autorice expresamente en el presente. Sección 13. ESCRUTINIO DE LOS RESULTADOS En conformidad con la Sección 67.003(2) del Código Electoral de Texas, el Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club se reunirá en la fecha normalmente programada para la asamblea: martes 18 de mayo de 2010 a las 6:00 p.m. para hacer el escrutinio de los resultados de la Elección. Una copia del Convenio de Elecciones Conjuntas entre el Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club y el Poblado de Trophy Club se anexa e incorpora al presente como Anexo “B”. Adicionalmente, una copia del Convenio de Elecciones Conjuntas con el Condado de Denton para celebrar las elecciones para el Poblado de Trophy Club y el Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club se incorpora al presente como Anexo “C”. Sección 15. CLÁUSULA ACUMULATIVA Esta Orden será acumulativa de todas las estipulaciones de las Órdenes del Distrito de Servicios Públicos Municipales Nro. 1 de Trophy Club, salvo cuando las estipulaciones de esta Orden entren en conflicto directo con las estipulaciones de otras órdenes, en cuyo caso se repelerán las estipulaciones conflictivas de las otras órdenes. Sección 16. Mr. Almon advised we received four bids at a Net Interest Cost of 4.157%. Bonds can be redeemed on September 1, 2010 or any date thereafter without bond holder consent. TCMUD 1 received underlying bond ratings of AA- from S & P and an A2 rating from Moody's. Mr. Almon felt the insurance was a bit pricey. Southwest Securities was the lowest bidder even with the insurance. Bond Counsel Greg Schaecher addressed the Board, advising the Order before the Board for approval covers the award of the sale of the bonds to Southwest Securities, the winning bidder; sets out the term of the Bond; levies the tax; approves the Paying Agent Agreement; sets out tax covenants and sets out any other necessary provisions. Director Neil Twomey thanked both Bond Counsel and Financial Advisor Dan Almon for their hard work and their dedication. Twomey added that this low interest rate will save taxpayers $11,250 savings per year and over the life of the bonds is a savings of approximately $225,000. Finance Advisor Dan Almon thanked Staff for all their help. Finished the 2008-2009 Fiscal Year Audit for the Town. This was the earliest completion by the Town's Finance Department. 2. Revised Variance Report to include Property Tax, Utility Operations - Revenues and Expenditures, Current Month and Actual YTD, with an estimated break even for this Fiscal Year. 3. Property Tax Appraisals are billed quarterly 4. Legal Fees - We are currently over the annual budget, and DuBose suggested we should consider Budget Amendments/Transfer. 5. DuBose will have a final audit breakdown in March. District Manager Scott stated he would prefer not to do a budget amendment and/or transfer, so that we could see where we went over to assist in setting next year's budget. Director Twomey asked if we had any supplementals based on appraised values for Solana. Twomey asked if DuBose has completed the true-up for the Fire Department. DuBose advised that those expenses were reflected in February's report. Director Hase stated that he would prefer not to have Budget Amendments, as recommended by District Manager Scott. Mr. Bill Armstrong, 18 Avenue Twenty, addressed the Board. The Board recommended Mr. Armstrong meet with District Manager Scott to obtain the requested information. District Manager Scott has asked Ron Powell to create a spreadsheet showing the number of homes in the PID, which will be presented to the Board each month. Receive Finance Director's Report a. Krisha Campbell is leaving to work with Dallas County Marshall's Office. She has been with the Department for eight years. 2. Council approved the permanent site for the new Fire Station. 3. The construction bids have been advertised. 3. Off site approval with Council is set for the 22nd. Director Cantrell asked what extra procedures are put in place during adverse/extreme weather. Fire Chief Thomas advised that all calls go through County Dispatch, we had two extra people, one engine on one side of Town; and the Police Department does patrol. The motion CARRIED by the following vote: Attorney Liston explained that some of the Early Voting Sites in Denton County have changed. Since TCMUD 1 is contracting with Denton County for Election Services, it is necessary to adopt these amended orders, which now reflects the correct Early Voting Sites for Denton County voters. MUD Secretary Moore advised that should there be any additional changes in the Early Voting Sites in Denton County, another Order amendment will come before the Board at their April meeting. Hase advised that earlier today, there was a meeting with SEMO and Town Manager Emmons and Mayor White, to cover some of the same territory and to get a better understanding of Option 2 and Emmons' proposal. Councilmember Bill Rose advised he is agreement for the 100% dedicated MUD employees, movement of a Finance Person, everything else covered under Agreement, cost of services is still undetermined. Director Hase advised the MUDs do not require a SLA-Service Level Agreement, and Hase would like a fixed rate contract with exception of audit area. The SEMO Committee is satisfied with the $208,000 minus the $18,000 plus an hourly rate payment for Kathy DuBose for audit and related financial services. President Budarf advised that this will allow all employees to keep the same insurance and retirement. Mayor White addressed the Board. Director Hase indicated he would like to have a meeting close after council meets on the 22nd. Director Twomey advised that there will be discussion at the next Council meeting. Mayor White agreed that Council will discuss and post to take action on the 22nd. President Budarf asked that the agenda item addressing SEMO be put toward the front of the agenda to which the Mayor agreed. President Budarf advised that the contract presented tonight for MUD Secretary Moore is in conflict with the current Employment Services Contract in place between the Town and MUD 1. The Board has instructed the District Manager and Counsel to remedy this, and authorized the District Manager and the two presidents to execute the document once it is completed by the attorney.
